Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MyClubVault customer platform at vip.myclubvault.com (the "Service"), operated by Emerald Business Solutions ("MyClubVault," "we," "us," or "our"). By creating an account, signing in, or using the Service, you agree to these Terms.

1. Eligibility — 21 years of age or older

The Service is offered exclusively to individuals who are at least 21 years of age and who are legally permitted to access adult nightlife entertainment in their jurisdiction. You represent and warrant that:

  • You are 21 or older;
  • The date of birth you provide is accurate;
  • You will not permit any other person to use your account; and
  • You understand the Service may display adult-oriented nightlife content published by participating venues.

We may suspend or terminate accounts that fail age verification, provide false information, or appear to be used by underage persons. Age verification is based on the information you supply; we do not guarantee detection of every false submission.

2. Description of the Service

MyClubVault is a private, members-only venue update application. Customers follow venues they choose (typically via venue QR codes) and may receive photos, events, announcements, and related updates published by venue administrators. The Service is not a public social network, dating service, employment portal, or staff communication system.

Venue content is created and controlled by each venue's authorized administrators. MyClubVault does not create, endorse, or guarantee venue posts, images, events, or promotions unless explicitly stated in writing.

3. Account registration and security

To use the Service you must register with a valid email address, password, and date of birth. You may optionally set a PIN, enable push notifications, and opt in to venue marketing email where offered.

You are responsible for:

  • Maintaining the confidentiality of your password, PIN, and device;
  • All activity under your account; and
  • Notifying us promptly at contact@myclubvault.com if you suspect unauthorized access.

We may refuse registration, require re-verification, or limit access to protect the Service or comply with law.

4. Acceptable use and prohibited conduct

You agree not to:

  • Access the Service if you are under 21 or misrepresent your age or identity;
  • Scrape, copy, download, screen-record, redistribute, or publicly republish venue photos, videos, posts, or other content except through in-app share features explicitly enabled by the venue;
  • Harass, threaten, dox, or attempt to identify venue staff, performers, or other customers beyond what venues intentionally publish;
  • Share employee-only information, internal staff schedules, private contact details, or non-public venue operations;
  • Reverse engineer, probe, or interfere with the Service, its APIs, or security measures;
  • Use the Service for spam, fraud, illegal activity, or to violate any applicable law;
  • Create multiple accounts to evade suspension or venue blocks; or
  • Assist any third party in doing any of the above.

Violation may result in immediate suspension or permanent removal without refund (the Service is free to customers).

5. Venue content and third-party venues

Each participating venue is an independent business. References to a venue name, logo, or promotion do not create a partnership, agency, or employment relationship between MyClubVault and that venue beyond technical hosting of venue-published material.

Venue administrators are solely responsible for the legality, accuracy, and appropriateness of content they publish, including compliance with performer privacy, copyright, and local entertainment laws. MyClubVault provides tools only.

Visiting a physical venue, purchasing goods or services, or interacting with venue staff is entirely at your own risk. MyClubVault is not responsible for conduct, safety, pricing, or policies at any physical location.

6. Intellectual property

The MyClubVault name, branding, software, and platform design are owned by MyClubVault or its licensors. Venue content remains the property of the respective venue or its licensors. You receive a limited, revocable, non-transferable license to view venue content inside the Service for personal, non-commercial use only.

You may not use MyClubVault trademarks or venue content for commercial purposes without written permission.

7. Push notifications and communications

With your permission, we may send discreet push notifications about venue updates. Notification text may not identify the venue on your lock screen when "discreet" mode is enabled by the venue. You can disable notifications in your device or account settings.

Optional marketing email from a venue requires your separate opt-in for that venue. You may unsubscribe from marketing email without deleting your account.

8. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference. By using the Service you acknowledge that you have read the Privacy Policy.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYCLUBVAULT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF CONTENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. Venue content may be incomplete, outdated, or withdrawn at any time.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYCLUBVAULT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, VENUE CONTENT, OR ANY PHYSICAL VENUE VISIT — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER (CUSTOMER ACCOUNTS ARE TYPICALLY FREE, SO $100 MAY APPLY).

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless MyClubVault and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) content you submit or conduct attributable to your account.

12. Suspension and termination

We may suspend or terminate your account, or remove access to a venue, at any time for violation of these Terms, suspected fraud, legal requirement, or protection of venues, customers, or the platform. You may delete your account at any time from the Account section of the app.

Sections that by nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

13. Changes to these Terms

We may update these Terms from time to time. The "Effective date" at the top will change when we do. Material changes may require you to accept updated Terms on next sign-in. Continued use after notice constitutes acceptance where permitted by law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-law rules. You agree that exclusive jurisdiction for disputes relating to the Service will lie in state or federal courts located in Indiana, and you consent to personal jurisdiction there.

Before filing a claim, you agree to contact us at contact@myclubvault.com and attempt to resolve the dispute informally for at least thirty (30) days.
